CHANGES TO THE BOARD OF THE COMPANY

Shareholders are advised that, following approval by shareholders at the annual general meeting of the Company held on 1 September 2026, Ms Susan Khumalo has been appointed as a non-executive director of HCI with effect from 1 September 2026.
Susan is President of the Southern African Clothing and Textile Workers’ Union (SACTWU). She has also served as a director of SACTWU Investments Group and Zenzeleni Clothing, and as a non-executive member of the Fibre Processing & Manufacturing SETA and Ditsela Workers’ Education Institute. She is an executive committee member of the National Bargaining Council of the Clothing Manufacturing Industry and serves on leadership and executive committees of various national and international trade union federations, including IndustriALL Global Union.
The board of directors of HCI (“Board”) confirms, in compliance with paragraph 6.73 of the JSE Listings Requirements, that a fit and proper assessment has been conducted and that the Board is satisfied with the outcome. Additionally, the Company confirms that there are no positive statements to report in respect of the integrity information contained in the director’s declaration.
The Board welcomes Susan and looks forward to her contribution, drawing on her extensive experience in stakeholder engagement, governance and oversight within industry bodies and employee benefit structures.
Shareholders are further advised that Ms Laurelle McDonald did not stand for re-election at the annual general meeting and has accordingly stepped down from the Board with effect from 1 September 2026. The Board thanks Laurelle for her valuable contribution to HCI in her capacity as a non-executive director and looks forward to her continued contribution to the group in her longstanding role as Financial Director of Southern Sun Limited.
